Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("you," "your," "Player," or "User") and Rookie Gaming Inc. ("Rookie," "we," "us," or "our") and govern your access to and use of the Rookie platform, including all games, features, content, and services available through our website, mobile applications, and any other electronic devices (collectively, the "Platform").

1. Definitions

"Customer Account" or "Account" means the personal account registered by a Player on the Platform.

"Coin Type" means either Gold Coins (GC) or Sweeps Coins (SC).

"Content" means all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, software code, and other material displayed on or available through the Platform, including Gold Coins and Sweeps Coins.

"Excluded Territory" means any jurisdiction where participation in the Platform or any aspect thereof is prohibited by applicable law, including but not limited to: (a) in the United States: the states of Washington, Idaho, Michigan, Montana, Nevada, Connecticut, Delaware, New Jersey, New York, Kentucky, Vermont, West Virginia, Pennsylvania, Rhode Island, Maryland, Louisiana, Arizona, and Mississippi, and any outlying U.S. territories or possessions; (b) any other jurisdiction identified as excluded on the Platform from time to time.

"Fraudulent Conduct" means any conduct described in Section 13 of these Terms.

"Game" or "Games" means any game available on the Platform in either Standard Play or Promotional Play.

"Gold Coins" or "GC" means the virtual social gameplay tokens used to play Standard Play Games. Gold Coins have no monetary value and cannot be redeemed for prizes under any circumstances.

"Inactive Account" means a Customer Account that has not recorded any login activity for a period exceeding twelve (12) consecutive months.

"Permitted Territory" means any jurisdiction where participation in the Platform is not prohibited by applicable law, including but not limited to: (a) in the United States: all states not listed as Excluded Territories; (b) Canada (excluding Quebec and any province where prohibited); (c) Mexico; (d) Brazil; (e) Colombia; (f) Peru; (g) India (excluding states where prohibited by local law); (h) other jurisdictions as we may designate from time to time.

"Platform" means the website, mobile applications, and all associated services, features, tools, and Games operated by or on behalf of Rookie.

"Prize" or "Prizes" means the redeemable value won through Promotional Play, subject to the Sweepstakes Rules.

"Promotional Play" means participation in sweepstakes promotions by playing Games with Sweeps Coins.

"Standard Play" means playing Games with Gold Coins for entertainment purposes only, with no prize redemption.

"Sweeps Coins" or "SC" means sweepstakes entries subject to the Sweepstakes Rules. Sweeps Coins cannot be purchased. They are obtained free of charge through various methods described in the Sweepstakes Rules.

2. Eligibility and Jurisdiction

2.1 Age Requirements

You must be at least:

• 21 years of age if you reside in or access the Platform from the United States;
• 19 years of age if you reside in or access the Platform from provinces in Canada where the age of majority is 19 (British Columbia, New Brunswick, Newfoundland and Labrador, Northwest Territories, Nova Scotia, Nunavut, Yukon);
• 18 years of age if you reside in or access the Platform from Alberta, Manitoba, Ontario, Prince Edward Island, Saskatchewan in Canada, or from Mexico, Brazil, Colombia, Peru, India, or any other Permitted Territory where 18 is the applicable age of majority;
• Or such higher minimum legal age of majority as required by the laws of your jurisdiction.

2.2 Territorial Restrictions

1. You declare and warrant that you do not reside in, and will not access the Platform from, any Excluded Territory.
2. United States: Participation in Promotional Play is only available to residents of, and persons physically located in, Permitted U.S. states.
3. Canada: Participation is available in all provinces and territories except Quebec and any province or territory where participation is prohibited by applicable law.
4. Mexico: Participation is available to residents of Mexico who meet the age requirement and for whom participation is not prohibited by applicable federal or state law.
5. Brazil: Participation is available to residents of Brazil who meet the age requirement. You acknowledge that the Platform operates under the sweepstakes promotional model and not as a regulated gambling service under Brazilian law.
6. Colombia: Participation is available to residents of Colombia who meet the age requirement. You represent that your participation does not violate any applicable Colombian law or regulation.
7. Peru: Participation is available to residents of Peru who meet the age requirement.
8. India: Participation is available to residents of India in states and union territories where online sweepstakes and skill-based gaming promotions are not prohibited by applicable law. Residents of Andhra Pradesh, Assam, Nagaland, Odisha, Sikkim, Tamil Nadu, Telangana, and any other state that prohibits such activities are excluded.
9. It is your sole responsibility to ensure that your participation in the Platform is lawful in your jurisdiction.

2.3 Circumvention Prohibited

Any person who knowingly circumvents territorial restrictions — for example, by using a VPN, proxy, or similar service that masks or manipulates your real location, or by providing false or misleading information regarding your location or place of residence — is in breach of these Terms and may be subject to account termination, forfeiture of any Gold Coins, Sweeps Coins, and Prizes, and potential criminal prosecution.

2.4 Employee Restrictions

Employees of Rookie Gaming Inc., its parent companies, affiliates, subsidiaries, advertising agencies, service providers, or any other company or individual involved with the design, production, execution, or distribution of the Games — and their immediate family members (spouse, parents, siblings, children, whether by birth, marriage, or adoption) and household members (persons sharing the same residence for at least three months of the year) — are not eligible to participate.

3. Account Registration and Security

3.1 Single Account Policy

You are permitted to maintain only one (1) Customer Account on the Platform at any time, including any Inactive Accounts. If you are found to have more than one Account, all Accounts may be suspended or closed, and any Gold Coins, Sweeps Coins, and unredeemed Prizes in those Accounts may be forfeited.

3.2 Registration Information

You must provide accurate, complete, and current information during the registration process. You are required to keep your registration details up to date at all times. The name on your Account must match the name on your government-issued identification.

3.3 Account Security

• You are solely responsible for maintaining the confidentiality of your Account credentials.
• You must not share your Account credentials with any other person or allow any other person to access or use your Account.
• You are responsible for all activities that occur under your Account, whether or not authorized by you.
• We strongly recommend enabling two-factor authentication (2FA) where available.
• If you become aware of, or reasonably suspect, any unauthorized access to your Account, you must notify us immediately.
• We are not liable for any loss or damage arising from unauthorized use of your Account that results from your failure to maintain the security of your credentials.

3.4 Account Transfers

You may not transfer, sell, gift, exchange, trade, or otherwise convey your Account or any Gold Coins, Sweeps Coins, or Prizes to any other person. Any attempt to do so will result in immediate Account closure and forfeiture of all associated virtual currency and Prizes.

3.5 Closing Your Account

You may close your Account at any time by contacting Customer Support. Closing your Account will forfeit all Gold Coins. For Sweeps Coins and unredeemed Prizes, you must request redemption prior to closure (subject to verification requirements).

3.6 Inactive Accounts

We reserve the right to close or suspend any Inactive Account. Sweeps Coins in Inactive Accounts may expire in accordance with Section 6.

4. The Sweepstakes Model

4.1 How It Works

The Platform operates under a sweepstakes promotional model with two distinct virtual currencies:

• Gold Coins (GC): Used for Standard Play. Available for purchase and provided free of charge. Gold Coins have absolutely no monetary value and cannot be redeemed for prizes.
• Sweeps Coins (SC): Used for Promotional Play (sweepstakes entries). Sweeps Coins cannot be purchased. They are provided free of charge through various methods including daily login bonuses, social media promotions, mail-in requests, and as a bonus accompanying Gold Coin purchases. Sweeps Coins can be redeemed for prizes subject to the Sweepstakes Rules.

4.2 No Real Money Gambling

The Platform does not offer real money gambling. No actual money is wagered on any Game outcome. The purchase of Gold Coins is the purchase of a virtual entertainment product, not a deposit of funds.

4.3 No Purchase Necessary

No purchase is necessary to obtain Sweeps Coins or to participate in Promotional Play. Free methods of obtaining Sweeps Coins are described in the Sweepstakes Rules. The odds of winning in Promotional Play are the same regardless of how Sweeps Coins were obtained.

5. Gold Coin Purchases

5.1 Payment Methods

Gold Coins may be purchased using credit cards, debit cards, cryptocurrency, electronic wallets, bank transfers, or other payment methods as made available on the Platform. Available payment methods may vary by jurisdiction.

5.2 Ownership of Payment Method

The payment method you use must be legally and beneficially owned by you and registered in your name. If we discover a discrepancy between the name on your Account and the name on your payment method, your Account may be immediately suspended.

5.3 Pricing and Taxes

• All Gold Coin packages are priced in United States Dollars (USD) unless otherwise specified for your jurisdiction.
• Applicable taxes will be added to your purchase where required by law.
• Foreign exchange fees, currency conversion charges, or cryptocurrency network fees are your sole responsibility.

5.4 Processing

We begin processing your Gold Coin purchase when you confirm payment. Once processing begins, the purchase cannot be reversed. Gold Coins will be credited to your Account promptly upon successful payment confirmation.

5.5 No Refunds (General Rule)

Purchases of Gold Coins are final and non-refundable except as described in our Refund Policy.

5.6 Chargebacks and Disputes

If we receive a chargeback, payment reversal, or payment dispute notice relating to your Account, your Account will be immediately suspended. The amount of such chargebacks or reversals will constitute a debt owed by you to us.

6. Sweeps Coins and Free Entry

6.1 Methods of Obtaining Sweeps Coins

Sweeps Coins are available at no cost through:

• Daily Login Bonus: Log into your Account to receive free Sweeps Coins.
• Gold Coin Purchase Bonus: Receive free Sweeps Coins as a promotional bonus when purchasing Gold Coin packages.
• Social Media Promotions: Participate in contests and giveaways on our official social media channels.
• Mail-In Request: Send a handwritten request to receive free Sweeps Coins. See Sweepstakes Rules for complete details.
• Other Promotions: Additional free methods as announced on the Platform.

6.2 No Purchase of Sweeps Coins

Sweeps Coins cannot be purchased. Any representation by a third party that Sweeps Coins can be purchased is fraudulent and should be reported to us immediately.

6.3 Play-Through Requirements

Unless otherwise specified, each Sweeps Coin must be played at least once (1x) before it is eligible for Prize redemption. We reserve the right to impose additional play-through requirements (not exceeding 20x) on Sweeps Coins received through specific promotions.

6.4 Expiration

Sweeps Coins are valid for sixty (60) days from the date you last logged into your Account. After that period, unredeemed Sweeps Coins will automatically expire.

7. Games and Platform Use

7.1 Game Rules

Each Game on the Platform may have its own specific rules, paytables, and mechanics. It is your responsibility to review and understand the rules of any Game before playing.

7.2 License to Use

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Platform and play the Games through supported devices, solely for your personal, private entertainment.

7.3 Sufficient Balance

You may participate in a Game only if you have sufficient Gold Coins or Sweeps Coins in your Account. We will not extend credit of any kind.

7.4 Final Results

In the event of a discrepancy between the Game result displayed on your device and the result recorded on our servers, the server-side result shall be the official and governing result.

7.5 Void Games

We reserve the right to declare any Game round void if we determine there was an error, malfunction, misconfiguration, bug, or technical failure. In such cases, we will use commercially reasonable efforts to restore any Gold Coins or Sweeps Coins wagered in the affected round.

7.6 Platform Availability

We reserve the right to add, modify, suspend, or remove any Game, feature, or Content from the Platform at any time, with or without notice.

8. Prize Redemption

8.1 Eligibility for Redemption

To redeem Prizes, you must: (a) have a verified Account; (b) be located in a Permitted Territory; (c) have Sweeps Coins that have met all play-through requirements; and (d) meet the minimum redemption threshold.

8.2 Minimum Redemption

The minimum redemption threshold is 100 Sweeps Coins (equivalent to USD $100 in Prize value), unless otherwise specified.

8.3 Redemption Methods

Prizes may be redeemed via direct bank transfer, cryptocurrency, electronic payment services, gift cards, or other methods as we may offer. Available methods vary by jurisdiction.

8.4 Prize Redemption Value

Each Sweeps Coin that has met the applicable play-through requirement has a redemption value of USD $1.00.

8.5 Verification Required

All Prize redemptions require completion of our identity verification process (KYC). Redemption requests will remain pending until verification is completed.

8.6 Processing Times

Standard processing time is up to ten (10) business days from verification completion. Redemptions exceeding USD $10,000 may require additional processing time.

8.7 Redemption Limits

We reserve the right to impose daily, weekly, or monthly redemption limits, including but not limited to USD $10,000 per day.

8.8 Taxes on Prizes

You are solely responsible for reporting and paying all applicable taxes on Prizes redeemed. We may be required to report Prize redemptions to tax authorities in certain jurisdictions.

9. Identity Verification and KYC

9.1 Right to Verify

We are entitled to conduct identity verification, anti-money-laundering (AML), and know-your-customer (KYC) checks at any time.

9.2 Verification Triggers

Enhanced verification will be required for: all Prize redemption requests; cumulative Gold Coin purchases exceeding USD $2,000; single or cumulative Prize redemptions exceeding USD $2,000; any activity that triggers fraud detection or AML monitoring; and at our discretion at any time.

9.3 Required Documentation

Verification may require: government-issued photo identification; proof of address; proof of payment method ownership; source of funds documentation; selfie verification; and any other documentation we reasonably require.

9.4 Jurisdiction-Specific Requirements

• Brazil: We may request your CPF (Cadastro de Pessoas Físicas) number.
• Colombia: We may request your cédula de ciudadanía or cédula de extranjería number.
• Peru: We may request your DNI (Documento Nacional de Identidad) number.
• India: We may request your Aadhaar number, PAN card, or other government-issued identification.
• Mexico: We may request your CURP (Clave Única de Registro de Población) or INE/IFE credential.

10. Provably Fair Gaming

10.1 Commitment to Fairness

All Game outcomes on the Platform are determined using a provably fair system based on cryptographic hash functions (HMAC-SHA256). This system ensures that neither the Player nor Rookie can predict or manipulate Game outcomes.

10.2 How It Works

• Before each Game round, the server generates a server seed, which is hashed and provided to you as a commitment (server seed hash).
• You are assigned a client seed (which you may change at any time) and a nonce that increments with each Game round.
• The Game outcome is derived deterministically from the combination of the server seed, your client seed, and the nonce.
• After your seed pair is rotated, the original server seed is revealed, allowing you to independently verify all past outcomes.

10.3 Verification

You may verify any past Game round at any time using the verification tools available on the Platform.

10.4 No Client-Side Randomness

Zero Game outcomes use client-side random number generation. All randomness is server-derived using the provably fair system.

11. Promotions and Bonuses

We may offer promotions, bonuses, tournaments, challenges, and special offers from time to time. All promotions are subject to these Terms and any additional promotion-specific terms. We reserve the right to modify, suspend, or cancel any promotion at any time. If we reasonably believe that a Player is abusing any promotion, we may withhold, revoke, or cancel any bonus, Prize, or advantage derived from such abuse.

12. Responsible Play

Rookie is committed to promoting responsible play. We provide purchase limits, session time limits, activity reminders, cool-off periods, and self-exclusion. Full details are available in our Responsible Play Policy.

Reductions to limits take effect immediately. Increases require a cooling-off period of at least seventy-two (72) hours.

The Platform is not intended for use by minors. We will close any Account found to be operated by or on behalf of a minor.

13. Prohibited Conduct

13.1 You Must Not:

• Hack, reverse engineer, decompile, or disassemble any part of the Platform;
• Introduce viruses, malware, or any other harmful code;
• Use bots, scripts, automated software, or any mechanical means to play Games;
• Exploit bugs, glitches, or technical errors for personal gain;
• Collude with or coordinate gameplay with other Players;
• Use the Platform to facilitate money laundering, terrorist financing, or financial crime;
• Use funds from illegal sources to purchase Gold Coins;
• Create or maintain multiple Accounts;
• Use a VPN, proxy, or similar service to mask your true location;
• Provide false, misleading, or incomplete information;
• Transfer, sell, or purchase Accounts, Gold Coins, Sweeps Coins, or Prizes outside the Platform;
• Harass, abuse, threaten, or engage in discriminatory conduct;
• Infringe on any intellectual property rights;
• Circumvent any security measures or territorial restrictions;
• Use the Platform in any manner that violates applicable law.

13.2 Consequences

Violation may result in: immediate Account suspension or termination; forfeiture of all virtual currency and Prizes; reporting to law enforcement; legal action; and permanent ban from the Platform.

14. Intellectual Property

All Content, Games, software, trademarks, and intellectual property on the Platform are owned by or licensed to Rookie. Your license does not grant ownership. You must not reproduce, distribute, modify, or create derivative works from any Content. If you submit content through the Platform, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use such content for Platform-related purposes.

15. Third-Party Services and Links

The Platform may integrate with or link to third-party services. We are not responsible for third-party content, functionality, or practices. We do not authorize any third party to sell, distribute, or offer Gold Coins or Sweeps Coins outside the Platform.

16. Disclaimer of Warranties

17. Limitation of Liability

Consumer Protection Carve-Outs

• Brazil: Nothing in these Terms limits your rights under the Código de Defesa do Consumidor (Law No. 8,078/1990).
• Colombia: Your rights under the Estatuto del Consumidor (Law 1480 of 2011) are preserved.
• India: Your rights under the Consumer Protection Act, 2019, are preserved.

18. Indemnification

You agree to indemnify, defend, and hold harmless Rookie Gaming Inc., its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Platform; your breach of these Terms or any applicable law; your violation of any third-party right; any purchase or Prize redemption; your Fraudulent Conduct; any content you submit through the Platform; and any tax liability from your participation.

19. Account Suspension and Termination

19.1 Our Right to Suspend or Terminate

We reserve the right, at our sole discretion, to suspend, restrict, or close your Account for any reason, including but not limited to: breach of these Terms; suspected Fraudulent Conduct; failure to complete identity verification; multiple Account violation; suspected money laundering; chargeback or payment dispute; providing false information; accessing from an Excluded Territory; use of automated tools; harassment; account inactivity; or any reason required by applicable law.

19.2 Consequences of Termination for Cause

If terminated for breach: all Gold Coins and Sweeps Coins are forfeited; all pending Prize redemptions are cancelled; we may share your details with applicable authorities; and you may be permanently banned.

19.3 Consequences of Termination Without Cause

If we close your Account for reasons not related to breach, we will make reasonable efforts to enable you to redeem any eligible Sweeps Coins.

20. Privacy and Data Protection

Your privacy is important to us. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy. By using the Platform, you consent to the collection and processing of your personal information as described therein.

21. Modifications to Terms

We reserve the right to amend these Terms at any time. For material changes, we will notify you via a prominent notice on the Platform, email, or a required re-acceptance upon your next login. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms.

22. Dispute Resolution and Arbitration

22.1 Informal Resolution

Before initiating formal dispute resolution, you and Rookie agree to attempt to resolve any Dispute informally by sending a written "Dispute Notice" and negotiating in good faith for sixty (60) days.

22.2 Binding Arbitration

If a Dispute is not resolved informally, either party may initiate binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration may be conducted in person, telephonically, or via videoconference. The arbitrator's decision shall be final and binding.

22.3 Class Action Waiver

22.4 Opt-Out

You may opt out of the agreement to arbitrate by sending written notice to legal@rookie.gg within thirty (30) days of first accepting these Terms.

22.5 International Players

If binding arbitration is not enforceable in your jurisdiction, the Dispute shall be resolved by the courts specified in Section 23.

22.6 Jurisdiction-Specific Provisions

• Brazil: Your right to bring claims before the courts of your domicile under the Código de Defesa do Consumidor is preserved.
• India: Disputes may be subject to the Arbitration and Conciliation Act, 1996. The seat of arbitration for Indian residents shall be New Delhi.
• Colombia: Your rights to bring claims before Colombian consumer protection authorities are preserved.

23. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, except where mandatory local laws of your jurisdiction require otherwise.

Subject to Section 22, any Dispute not subject to arbitration shall be submitted exclusively to the courts of the Province of Ontario, Canada.

Jurisdiction-Specific Overrides

• Brazil: Consumers may bring claims in the courts of their domicile.
• Colombia: Consumers may bring claims before the Superintendencia de Industria y Comercio or domicile courts.
• India: Non-arbitrable disputes may be brought in New Delhi courts or domicile courts.
• Peru: Consumer rights under INDECOPI's framework are preserved.

24. General Provisions

Entire Agreement: These Terms, together with all Policies, constitute the entire agreement between you and Rookie regarding your use of the Platform.

Severability: If any provision is found invalid, it shall be severed or modified to the minimum extent necessary; remaining provisions continue in full force.

Waiver: Our failure to enforce any right or provision shall not constitute a waiver.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.

Force Majeure: We are not liable for failure to perform due to events beyond our reasonable control.

No Agency: Nothing in these Terms creates any agency, partnership, or fiduciary relationship.

Language: In the event of conflict between the English version and any translation, the English version prevails.

Communications Recording: All communications between you and us may be recorded and retained.

Business Transfers: In the event of a merger, acquisition, or sale, your Account and data may be transferred. We will notify you of any such transfer.

25. Contact Information

By creating an Account, accessing the Platform, or participating in any Games, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all incorporated Policies.
